These Terms of Service are effective for new users upon sign-up for the Service, and for existing users as of the Effective Date above.

These Terms of Service (“Terms”) govern the use of Qlarity’s application, integrations, and related services (“Service”). The Service is provided by Qlarity, LLC (“Qlarity,” “we,” “us,” or “our”). By using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Definitions

  • Customer Data: Information you input into the Service that is processed through integrations (such as QuickBooks Online).

  • Subscription: Paid access to the Service on a recurring basis via the Intuit Marketplace.

  • Billing Period: The time frame covered by your paid subscription (e.g., monthly or annually).

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.

3. License to Use the Service

Qlarity grants you a limited, revocable, nonexclusive, nontransferable license to use the Service during your active Subscription, subject to these Terms.

4. Customer Responsibilities

  • Maintain accurate account and billing information.

  • Use the Service only in compliance with applicable laws, regulations, and Intuit’s policies.

  • Keep login credentials secure.

  • Understand that Qlarity is an integration tool and does not serve as a system of record.

5. Data Ownership & Limitations

  • Ownership: You retain ownership of all Customer Data.

  • No PHI: Qlarity does not collect, store, or process Protected Health Information (PHI) as defined by HIPAA.

  • No Export Tools: Qlarity does not provide data export functionality. All source data resides in QuickBooks Online or other integrated platforms, not within Qlarity

6. Fees & Payments

  • Subscription fees are billed and managed through the Intuit Marketplace.

  • Fees are non-refundable, and Qlarity does not offer prorated refunds.

  • Your Subscription will renew automatically unless canceled through the Marketplace.

7. Termination & Cancellation

  • By Customer: You may cancel your subscription at any time through your account settings in Qlarity. Cancellation will be effective at the end of your current Billing Period. You will continue to have access until that date.

  • By Qlarity: We may suspend or terminate access immediately if you fail to pay fees, breach these Terms, or misuse the Service.

  • Effect of Termination: Access ends at the conclusion of the Billing Period. Since Customer Data resides in QuickBooks Online or other integrated platforms, Qlarity does not provide data export services.

8. Service Availability

We aim for reliable uptime but do not guarantee uninterrupted access. Maintenance, updates, or third-party service outages (including QuickBooks Online) may affect availability.

9. Security & Compliance

  • Qlarity employs reasonable technical, administrative, and physical safeguards to protect Customer Data.

  • While designed in alignment with HIPAA security principles, Qlarity does not act as a Business Associate because it does not handle PHI.

  • Customers remain responsible for their own compliance obligations.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.” Qlarity disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Qlarity’s liability is limited to the amount you paid for the Service in the twelve (12) months preceding the claim.

  • Qlarity is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.

12. Indemnification

You agree to defend, indemnify, and hold harmless Qlarity, its officers, employees, and contractors from claims, damages, or expenses arising out of your misuse of the Service or breach of these Terms.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated (e.g., via email or in-app). Continued use of the Service after changes means you accept the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of [Insert State], without regard to conflicts of law. Any disputes shall be resolved exclusively in the courts of [Insert County, State].

15. Entire Agreement

These Terms, together with any Marketplace agreements, constitute the entire agreement between you and Qlarity.
